Execution notes

  • Tradeweb agreed on 19 October 2026 to buy Trumid for $1.97bn ($1.89bn cash, $82m equity), targeted to close in H1 2027.
  • Tradeweb credit revenues are on track to exceed $500m globally for the first time.
  • Grey markets account for about 5% of trading volume; Tradeweb plans to roll out Trumid's Swarms protocol across its credit network.
  • About 40% of Trumid revenue comes from its anonymous RFQ protocol, complementing Tradeweb's primarily displayed RFQ.
  • The deal follows ICE's June 2026 agreement to acquire MarketAxess for approximately $5.7bn enterprise value.

Tradeweb Markets agreed on 19 October 2026 to acquire the electronic credit trading marketplace Trumid for $1.97bn, extending the multi-asset platform across the full bond lifecycle from grey-market price discovery to secondary trading on a single venue. The transaction, financed with $1.89bn in cash and $82m in equity, has unanimous board approval from both firms and is targeted to close in the first half of 2027, subject to regulatory approvals.

Billy Hult, chief executive of Tradeweb, called the timing "compelling" on a 20 October conference call. He said clients increasingly want better price discovery and more efficient execution around new issues, and that Tradeweb will introduce Trumid's Swarms protocol across its global credit network.

"With a multi-year refinancing and artificial intelligence infrastructure cycle on the horizon, we believe the new issue market will remain front and center," Hult said. "As electronification and velocity increase, we believe our opportunity expands."

What does the deal change for credit desks?

Grey markets — where price discovery begins before a bond has been officially issued — comprise about 5% of trading volume, yet much of that workflow remains manual. Trumid's Swarms protocol convenes a group of participants on the same bond at the same moment throughout the day. Tradeweb plans to deploy it across its global credit network after closing.

"Grey markets are where a bond's trading life begins, and with Trumid we can serve clients from those first moments of price discovery all the way through the secondary market," Hult said.

Trumid has also built dealer RFQ (request for quote) and Attributed Trading protocols that complement Tradeweb's own. Attributed Trading is a bilateral dealer-to-client protocol that lets dealers electronically distribute axes (indications of buying or selling interest) and inventory to curated client lists.

Mike Sobel, co-chief executive and president of Trumid, said in a statement: "Together, we'll build on what we've created, accelerate innovation, and deliver an even stronger and more intelligent trading experience for our combined networks of buy and sell-side clients globally."

Where does the client overlap sit?

Credit is on track to exceed $500m in global revenues at Tradeweb for the first time, having moved from what Hult called an "afterthought" in the firm's lineup to one of its most important growth engines. He noted Tradeweb's biggest competitor in credit is still the phone.

Chief financial officer Sara Furber described client overlap between the two firms as "pretty small." Tradeweb has historically scaled in U.S. credit through greater penetration with asset managers, while Trumid's base leans toward hedge funds — many of them newer to Tradeweb's platform and trading with it less actively.

Approximately 40% of Trumid's revenue comes from its anonymous RFQ protocol, which Furber said complements Tradeweb's primarily displayed RFQ. "When we put it together, we're really expecting a broader client network and deeper pools of liquidity, which is good for clients, particularly in grey markets among systematic hedge fund clients," she said.

How does the deal stack up financially?

The transaction meets Tradeweb's financial objectives, including being accretive in the first year after closing, Furber said. Tradeweb holds more than $2bn of cash on its balance sheet, carries no debt and produces $1bn of free cash flow annually.

Furber added: "We see real upside to both Trumid's ability to compete in grey markets and gross secondary revenue, which has been an increasing source of their growth."

What about AI and the competitive backdrop?

Tradeweb's TARA AI chatbot turns firm data into real-time client insight, while Trumid's Smart Voice converts unstructured phone conversations into pre-filled trade tickets in seconds. Hult said Trumid's unique data from a bond's earliest trading will sharpen Ai-Price, Tradeweb's automated pricing engine for U.S. investment-grade and high-yield corporate bonds that integrates TRACE (the U.S. bond trade reporting platform) data with proprietary datasets.

The deal follows Intercontinental Exchange's June 2026 agreement to acquire MarketAxess for approximately $5.7bn in enterprise value. Hult said Tradeweb embraces competition and that the acquisition lets the firm redirect resources toward what he called the next frontiers in credit: emerging markets, algorithmic trading and block trading. "It lets us move faster," he said.

Morgan Stanley serves as exclusive financial advisor to Tradeweb; Goldman Sachs advises Trumid. Legal advisors are Fried, Frank, Harris, Shriver & Jacobson and Simpson Thacher & Bartlett for Tradeweb, and Latham & Watkins for Trumid. Integration planning, protocol rollouts and the Swarms deployment now hinge on regulatory approvals ahead of the projected first-half 2027 close.
